TERMS OF SERVICE

These Terms of Service ("Terms") describe how Hello Flow Studio ("Hello Flow," "we," "us," or "our") sells and delivers its services, and the terms that apply when a client ("you" or "Client") purchases those services. Use of this website is also subject to our Privacy Policy, Disclaimer, and AI Use & Responsibility Disclosure.

1. Acceptance and Eligibility

You accept these Terms when you do any of the following: purchase a service from Hello Flow; sign or accept an order form, proposal, statement of work, or implementation scope that incorporates these Terms; or check an acceptance box where one is presented. Where a purchase is made through our online checkout, we will ask for affirmative acceptance where the checkout makes that available.

You must be at least 18 years old, and you must be purchasing or acting on behalf of a business or professional entity. By accepting these Terms, you confirm that you have the authority to bind that business or entity.

2. Agreement Structure

A client engagement may be made up of more than one document. Depending on the service, these may include: these Terms; the applicable checkout or order form; a proposal; a statement of work; an implementation scope; the approved Blueprint; the Refund & Cancellation Policy; and any other written project-specific terms that are expressly incorporated into the engagement.

The project-specific document (for example, the order form, proposal, statement of work, or implementation scope) controls the specific scope, price, payment schedule, dates, and other engagement-specific terms. These general Terms govern everything else, unless the project-specific document expressly states otherwise.

3. Services

Hello Flow currently provides three primary service paths.

Operational Blueprint. Hello Flow professionally designs a future-state operational system for one defined area of your business. Depending on the area, a Blueprint may address workflow and process design, information flow, ownership and responsibilities, which work is handled by people and which is automated, technology and automation direction, functional requirements, implementation sequencing, and practical implementation resources. The Blueprint is a professional design product. It specifies what should be built and how it should function. It is not the technical implementation itself.

Build With Us. Build With Us is structured implementation support for a completed, approved Blueprint. It includes an implementation kickoff; 8 weeks of implementation support beginning at kickoff; Blueprint-specific implementation questions and guidance; 2 structured milestone reviews tied to meaningful implementation milestones, both of which take place during the 8-week support period; implementation issue triage; a launch-readiness review; and an implementation closeout. You or your contractor perform the hands-on technical implementation. Hello Flow does not perform the technical build under Build With Us unless separate implementation work is expressly purchased.

Have Us Build It. Have Us Build It is a separately scoped technical implementation service based on a completed, approved Blueprint. Hello Flow performs or manages the agreed technical implementation identified in the accepted implementation scope. Depending on scope, this work may include software or system configuration, workflow construction, automations, integrations, the technical implementation decisions necessary to execute the approved design, technical testing, verification against the Blueprint, launch preparation, technical activation within scope, and handoff and orientation. Not every project includes every item. The signed or accepted implementation scope determines what is included.

In every path, the Blueprint is a complete deliverable on its own. Build With Us and Have Us Build It are separate services that begin from a completed, approved Blueprint.

4. Blueprint Walkthrough and Clarification Period

Every Blueprint includes a personalized walkthrough of the delivered design.

Every Blueprint also includes a 7-day clarification period after delivery for questions, factual corrections, and clarification of anything that does not accurately reflect the agreed business context.

The clarification period does not include redesign of the approved operational system, materially new requirements, expanded scope, implementation coaching, technical troubleshooting, or additional consulting unrelated to correcting or clarifying the delivered Blueprint. Those are available as separate services where offered.

5. Client Approval and Design Changes

The Blueprint reflects the business context and information you provide during the engagement. Material changes requested after the approved design has been delivered may require additional scope and fees. If you change your business model, requirements, tools, policies, or desired workflow after the Blueprint is completed, Hello Flow is not automatically required to redesign the Blueprint without a further agreement. We are glad to discuss what a redesign or update would involve.

6. Implementation Boundary

The Blueprint specifies what should be built and how it should function. Technical implementation performs the actual configuration and construction. Qualified implementers, whether yours or ours, may make the normal technical decisions necessary to execute the approved design, including configuration mechanics, platform setup, exact technical field mapping, authentication, testing methods, troubleshooting, and deployment mechanics.

Those technical decisions do not include redesigning the approved system. If implementation reveals a limitation that would materially change how your business operates or materially change the approved operational design, Hello Flow may pause that issue and require a design decision or a scope change before proceeding.

7. Have Us Build It: Implementation Scope

Have Us Build It work is limited to the accepted implementation scope. The implementation scope should identify, as applicable: the systems included; the workflows included; the automations and integrations included; major deliverables; exclusions; price; payment schedule; and target timing or project schedule. Hello Flow is not obligated to perform work outside the accepted scope.

8. Scope Changes

If you request work, or implementation reveals work, that materially expands the accepted implementation scope, Hello Flow may treat it as a scope change. Examples include new workflows, additional systems, materially expanded integrations, material changes to the approved operational design, significant data migration or cleanup, substantial new content creation, and added technical complexity not contemplated by the accepted scope.

Hello Flow will not proceed with material additional work without written agreement on the change and any additional fees or timing implications. Written agreement can be as simple as an emailed confirmation.

9. Stabilization Period for Have Us Build It

Have Us Build It includes a 14-day stabilization period following technical activation for the implementation Hello Flow delivered. During the stabilization period, Hello Flow will correct implementation defects where the delivered build does not operate as agreed within the accepted implementation scope.

The stabilization period does not include new features, new workflows, redesign, expanded scope, unrelated troubleshooting, ongoing system administration, continuing optimization, or changes resulting from third-party platform changes or from client modifications made after handoff, unless otherwise agreed.

10. Client Responsibilities

You are responsible for providing, as reasonably required for the agreed services: accurate business information; timely responses; system access; account permissions; required software subscriptions; credentials or authorizations; client-owned content; templates; business rules; approvals; source data; and other materials necessary to perform the agreed services.

You are also responsible for reviewing material decisions and deliverables when approval is requested; maintaining appropriate backups where relevant; complying with the laws and professional requirements that apply to your own business; and paying third-party software and service costs unless they are expressly included in the scope.

If client delays prevent work from proceeding, Hello Flow may reasonably pause or adjust the project schedule.

11. Third-Party Software and Services

Hello Flow frequently designs or implements systems that depend on third-party platforms. Third-party software and services are governed by the provider's own terms. Hello Flow does not control third-party availability, pricing, policies, outages, API behavior, feature changes, or platform changes. Our recommendations are based on information reasonably available at the time they are made, and third-party changes may affect a system after delivery.

This does not limit Hello Flow's responsibility for its own agreed work, including correcting its own implementation defects as described in these Terms. It means that Hello Flow cannot guarantee that third-party platforms will never change or fail.

12. Implementation Specialists and Subcontractors

Hello Flow may use qualified employees, contractors, implementation specialists, or other service providers to deliver portions of the services. You are purchasing services from Hello Flow. The use of specialists does not create a direct contract between you and those specialists unless separately agreed in writing. Hello Flow remains responsible for coordinating the work within the agreed Hello Flow scope.

13. AI-Assisted Delivery

Hello Flow may use artificial intelligence, automation, software tools, and internal systems to assist in research, analysis, drafting, quality review, production, and service delivery. The use of these tools does not replace Hello Flow's professional responsibility for the final client deliverable. Please also see our AI Use & Responsibility Disclosure.

14. Payments

Payments are processed through Stripe unless otherwise stated. Prices are listed in U.S. dollars unless otherwise stated. Payment terms may be specified at checkout or in the applicable order form, proposal, implementation scope, or invoice.

Blueprint purchases may be made through our online checkout. For Build With Us and Have Us Build It, pricing and payment terms are stated in the applicable order form or implementation scope. By purchasing, you authorize Hello Flow to charge your selected payment method for the amounts indicated at checkout or in the applicable engagement document.

15. Payment Questions and Disputes

If you believe a charge is incorrect, or that a service has not been provided as agreed, please contact us promptly at cathleen@helloflowstudio.com so we can review the issue with you. Most concerns can be resolved directly. In connection with any payment dispute, Hello Flow may provide relevant agreement, payment, delivery, and communication records to the payment processor.

16. Refunds and Cancellations

Refunds and cancellations are governed by our Refund & Cancellation Policy, which is incorporated into these Terms by reference, together with any engagement-specific cancellation terms in the applicable project document.

17. Delivery and Completion

Because the three service paths are different, they are delivered and completed differently. Unless the project-specific document says otherwise:

Blueprint. A Blueprint is delivered when the agreed client-facing Blueprint materials are made available to you. The walkthrough and the 7-day clarification period follow delivery.

Build With Us. The service period begins at implementation kickoff and runs for the agreed 8-week support period, subject to your participation and any adjustments agreed in writing.

Have Us Build It. Implementation work is completed according to the accepted implementation scope, with technical activation and handoff followed by the 14-day stabilization period described in these Terms or in the project-specific document.

18. Intellectual Property

Hello Flow materials. Hello Flow retains ownership of its methodologies, frameworks, reusable patterns, templates, internal tools, production systems, generalized know-how, and pre-existing intellectual property, including where they are reflected in a client deliverable.

Client-specific deliverables. On payment, you receive a license to use your Blueprint and other client-specific deliverables internally for your own business. This includes sharing them with your employees and with qualified contractors who need them to implement or operate your system. You may not resell them, publicly distribute them, sublicense them as a standalone product, or copy Hello Flow's proprietary frameworks for commercial reuse.

Client materials. You retain ownership of the materials and intellectual property you provide to Hello Flow. You grant Hello Flow permission to use them as needed to perform the agreed services.

19. Confidentiality

In the course of an engagement, Hello Flow may receive non-public information about your operations, systems, customers, processes, or business. Hello Flow will use that information to deliver the services and for legitimate business administration, and may share it with service providers or implementation specialists who need access to perform the agreed work, subject to appropriate confidentiality obligations. Hello Flow uses reasonable care to protect this information but does not promise absolute confidentiality or absolute security. Our handling of personal information is described in our Privacy Policy.

In turn, you agree not to publicly distribute Hello Flow's proprietary materials except as permitted in these Terms.

20. No Guaranteed Business Outcome

Hello Flow stands behind performing the agreed professional work. What we promise is the agreed work, not a guaranteed business outcome. Hello Flow can professionally design or implement an operational system, but cannot guarantee revenue, leads, conversion rates, business growth, profitability, time savings of a specific amount, uninterrupted software performance, or any particular commercial result. Those depend on factors outside our control, including how the system is used after delivery.

21. Professional Advice Boundary

Hello Flow provides operational design and implementation services. It does not provide legal, tax, accounting, financial, employment-law, cybersecurity, or other regulated professional advice unless expressly stated otherwise. You remain responsible for obtaining appropriate professional advice in those areas. Please also see our Disclaimer.

22. Limitation of Liability

To the maximum extent permitted by law, Hello Flow Studio shall not be liable for indirect, incidental, consequential, or special damages, including lost profits or business interruption, arising out of or related to the services or these Terms.

23. Termination

Hello Flow may suspend or terminate services for legitimate reasons, including nonpayment; abusive or unlawful conduct; material breach of these Terms or the project-specific document; failure to provide required access or cooperation; requests that would require unlawful or unethical work; or circumstances that make performance reasonably impossible. Where practical, we will let you know the reason and give you a reasonable opportunity to address it.

You may cancel an engagement subject to the Refund & Cancellation Policy and any engagement-specific cancellation terms. Amounts owed for work already performed remain governed by the applicable payment and refund terms.

24. Governing Law

These Terms are governed by the laws of the State of Illinois, without regard to its conflict-of-law principles.

25. Electronic Communications

You and Hello Flow may transact electronically. Electronic acceptance, signatures, notices, approvals, and records may be used where permitted by law, and have the same effect as their paper equivalents.

26. Entire Agreement, Severability, and Changes

These Terms, together with the incorporated project-specific documents and policies, form the agreement between you and Hello Flow regarding the purchased services. If any provision is found unenforceable, the remaining provisions remain in effect to the extent permitted by law.

Hello Flow may update these Terms from time to time. Material changes will be reflected by an updated effective date on this page. Changes to the scope of a specific active project require written agreement between you and Hello Flow.
